1. Agreement Between User and Freestyle Match
Welcome to freestylematch.com (the "Site"), operated by Freestyle Match LLC ("Freestyle Match," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Site, Freestyle Match memberships, profiles, directories, matching and discovery features, communications, and related services (collectively, the "Service"). By accessing or using the Service, creating an account, joining a waitlist, purchasing a membership, or otherwise indicating acceptance, you agree to these Terms. Please read them carefully and keep a copy for your records.
2. About Freestyle Match
Freestyle Match is a business matchmaking membership platform designed to help Freelancers and Business Owners discover and connect with one another. Freestyle Match may provide member profiles, directories, filters, match suggestions, communications, educational materials, community features, and other tools intended to help members identify potential working relationships.
Freestyle Match does not itself provide the freelance services listed by members and does not guarantee that any particular introduction, match, project, engagement, or business result will occur.
3. Eligibility and Accounts
You must be at least 18 years old to purchase a membership or create an account unless Freestyle Match expressly permits otherwise in writing. You are responsible for maintaining the confidentiality of your account credentials, restricting unauthorized access to your account, and all activity occurring through your account. Accounts and memberships may not be assigned or transferred without Freestyle Match's written consent.
Freestyle Match may refuse service, suspend or terminate accounts, or remove or edit content when reasonably necessary to protect the Service, other members, Freestyle Match, or to address suspected violations of these Terms.
4. Freestyle Match's Role in the Marketplace
Freestyle Match provides a platform intended to help Freelancers and Business Owners discover and connect with one another. Freestyle Match is not an employer, staffing agency, employment agency, client, contractor, subcontractor, agent, partner, joint venturer, or representative of any member solely because that member uses the Service.
Unless Freestyle Match expressly agrees otherwise in writing, Freestyle Match is not a party to agreements, engagements, projects, payments, deliverables, deadlines, representations, disputes, or other arrangements entered into directly between members.
Members are solely responsible for evaluating one another; deciding whether to enter into a working relationship; defining project scope, deadlines, deliverables, ownership, confidentiality, testimonial or feedback expectations, and other project terms; and complying with applicable tax, business, employment, independent-contractor, licensing, insurance, and other legal obligations. Freestyle Match does not arrange or facilitate compensation between matched members.
5. Freelancer Membership Terms
Founding Freelancer Membership. During the Founding Member period, eligible Freelancer memberships may be offered for a one-time payment of $37. A Founding Freelancer membership provides membership access for the lifetime of Freestyle Match LLC, subject to these Terms and Freestyle Match's right to suspend or terminate accounts for violations of these Terms.
Founding Freelancer Refund. A Founding Freelancer membership is eligible for a full refund when a written refund request is received at support@freestylematch.com within 30 days after membership activation. The refund period begins when Freestyle Match activates the membership, rather than when the membership payment is processed. Requests received after the applicable 30-day refund period do not qualify for a refund except where otherwise required by law.
Post-Founding Freelancer Membership. Following the Founding Member period, Freelancer membership is currently intended to be offered as a recurring subscription of $5 per month. Recurring subscriptions renew automatically until canceled. Members may cancel at any time. A refund of the current recurring charge may be requested in writing within 10 days of that billing date. Cancellation outside the applicable refund period stops future renewal but does not ordinarily refund the current billing period.
Lifetime Membership. For purposes of these Terms, a lifetime membership lasts for the lifetime of Freestyle Match LLC. If Freestyle Match LLC ceases operations, the lifetime membership ends and no refund is due solely because operations have ceased.
6. Business Owner Membership Terms
Founding / Legacy Business Owner Membership. During the Founding Member period, eligible Business Owner memberships may be offered at a Legacy rate of $37 per month. The Legacy rate remains available while the membership remains continuously active and in good standing, subject to these Terms.
If a Legacy Business Owner voluntarily cancels their membership and later rejoins, the membership rate being offered at the time they rejoin will apply. A temporary payment failure will not, by itself, automatically eliminate Legacy pricing while the applicable payment processor is actively retrying or resolving the payment; unresolved nonpayment may result in suspension or termination.
Post-Founding Business Owner Membership. Following the Founding Member period, the standard Business Owner membership rate is currently intended to be $97 per month.
Business Owner Renewals and Refunds. Business Owner subscriptions renew automatically at the applicable membership rate until canceled. Members may cancel at any time. For a Founding Business Owner's initial membership charge, the applicable 10-day refund period begins when Freestyle Match activates the membership, rather than when the initial membership payment is processed. For subsequent recurring charges, a refund of the current recurring charge may be requested in writing within 10 days of that billing date. Cancellation outside the applicable refund period stops future renewal but does not ordinarily refund the current billing period.
7. Waitlist Reservations and Founding Membership
Freelancer Waitlist. An eligible Freelancer may reserve a Founding membership for $1. The $1 reservation payment is separate from, and is not credited toward, the $37 Founding membership payment. At launch, the payment method provided during the reservation process may be charged the full $37 one-time Founding Freelancer membership price as disclosed at checkout. The 30-day Founding Freelancer refund period begins when the Freelancer’s membership is activated by Freestyle Match, rather than on the date the membership payment is processed.
Business Owner Waitlist. An eligible Business Owner may reserve a Founding membership for $1. The $1 reservation payment is separate from, and is not credited toward, the $37 Founding membership payment. At launch, the payment method provided during the reservation process may be charged $37 as the first monthly Legacy Business Owner membership payment as disclosed at checkout. The membership then renews at $37 per month while continuously active and in good standing, unless canceled in accordance with these Terms. The 10-day Founding Business Owner refund period begins when the Business Owner’s membership is activated by Freestyle Match, rather than on the date the first monthly membership payment is processed.
By completing a waitlist reservation, you agree to the pricing and future-charge authorization clearly disclosed to you at checkout. Freestyle Match will use its payment processor and platform functionality to administer the disclosed charge and recurring billing arrangement.
The $1 reservation payment is non-refundable unless otherwise required by applicable law.
8. Payments, Renewals, Cancellation, and Refunds
Payment Processing and Billing Descriptor. Freestyle Match is operated by Freestyle Match LLC. Payment processing and related financial operations for Freestyle Match are conducted through The Freestyle Hub LLC, an affiliated company under common ownership. Accordingly, charges for Freestyle Match purchases will appear on your bank or payment card statement under The Freestyle Hub LLC or a substantially similar billing descriptor. By completing a purchase, you acknowledge and agree that The Freestyle Hub LLC may appear as the merchant or billing descriptor associated with your transaction.
All prices are stated in U.S. dollars unless otherwise indicated. Applicable taxes, if any, may be added as required by law.
Recurring memberships automatically renew at the applicable billing interval until canceled. You authorize Freestyle Match and its payment processors to charge the payment method associated with your account for recurring membership fees and other amounts you expressly authorize.
Refunds: Founding Freelancer membership charges are eligible for a full refund if requested within 30 days after membership activation. Founding Business Owner membership charges are eligible for a full refund if requested within 10 days after membership activation. For subsequent recurring Business Owner membership charges, the 10-day refund window begins on the applicable billing date. After the applicable refund window has expired, membership charges are non-refundable except where otherwise required by law.
Cancellation prevents future renewals after the effective cancellation date. A cancellation request does not automatically create a right to refund a charge that falls outside the applicable refund window stated in these Terms.
Refund requests and cancellation requests requiring assistance should be sent to support@freestylematch.com. Freestyle Match may require information reasonably necessary to identify the relevant account and transaction.
9. Member-to-Member Relationships and Transactions
Freestyle Match is designed to facilitate experience-based working relationships between Freelancers and Business Owners without a financial transaction for the services exchanged through a Freestyle Match connection. Freelancers may gain real-world experience, portfolio material, testimonials, feedback, professional connections, or other non-monetary value, while Business Owners may receive assistance with projects or business needs.
Members are responsible for discussing and documenting the terms of their own working arrangements, including project scope, deadlines, deliverables, revisions, confidentiality, intellectual-property ownership, testimonial or feedback expectations, and termination rights. Freestyle Match does not employ either party, supervise the work, guarantee performance, or become a party to the working relationship.
Freestyle Match does not process, arrange, or guarantee payment for services exchanged through a Freestyle Match connection. If members independently choose to enter into a separate paid relationship outside the Freestyle Match arrangement, that transaction is solely between those members and is not arranged, processed, guaranteed, or supervised by Freestyle Match.
Members should use reasonable judgment and appropriate due diligence before sharing sensitive information, beginning work, granting access to business systems, or entering into any contractual relationship with another member.
10. No Guarantee of Matches, Work, Earnings, or Results
Freestyle Match does not guarantee that any member will receive a particular number or quality of matches, introductions, inquiries, clients, projects, opportunities, responses, earnings, revenue, testimonials, experience, business growth, or other outcome through use of the Service.
Match suggestions, search tools, directories, profiles, filters, recommendations, or other discovery features are intended to assist members in identifying potential connections. They are not endorsements, guarantees of compatibility, or representations concerning any member's qualifications, character, reliability, availability, or suitability.
Members remain responsible for their own decisions and for independently evaluating potential connections.
11. Affiliate Program
Freestyle Match may offer eligible members the opportunity to participate in an affiliate or referral program. Participation is subject to separate Affiliate Program Terms, which are incorporated by reference for participating affiliates. Membership in Freestyle Match does not guarantee eligibility for, participation in, or earnings from the Affiliate Program.
12. Electronic Communications
Visiting freestylematch.com, using the Service, or sending emails to Freestyle Match constitutes electronic communications. You consent to receive electronic communications and agree that agreements, notices, disclosures, and other communications we provide electronically, including by email and through the Site, satisfy any legal requirement that such communications be in writing.
13. Links to Third-Party Sites and Third-Party Services
The Site may contain links to websites or services operated by third parties. Those sites and services are not under Freestyle Match's control, and Freestyle Match is not responsible for their content, availability, privacy practices, terms, security, or performance. Inclusion of a link does not by itself imply endorsement or association.
Certain portions of the Service may be delivered through third-party platforms or providers, including payment, membership, directory, matching, communications, analytics, hosting, or other technology providers. By using those features, you acknowledge that information may be transmitted to or processed by providers with whom Freestyle Match has a contractual relationship as reasonably necessary to provide the requested functionality.
Third-party functionality may change, be interrupted, or become unavailable. Freestyle Match may modify, replace, or discontinue integrations or features as reasonably necessary and does not guarantee that any particular third-party feature will remain available indefinitely.
14. No Unlawful or Prohibited Use; Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You may not use the Service for any unlawful or prohibited purpose, damage or impair the Service, interfere with another member's use, attempt unauthorized access, scrape or harvest information without authorization, or obtain materials through means not intentionally made available.
Unless otherwise stated, text, graphics, logos, images, software, design elements, and other content provided by Freestyle Match are owned by or licensed to Freestyle Match and are protected by applicable intellectual-property laws. Freestyle Match content may not be modified, published, transmitted, reverse engineered, sold, reproduced, or commercially exploited except as expressly authorized in writing.
15. Communication Services and Member Conduct
The Service may include messaging, profiles, comments, groups, directories, or other communication facilities (collectively, "Communication Services"). Members must use Communication Services only for lawful and appropriate purposes related to the Service.
Do not defame, abuse, harass, stalk, threaten, discriminate against, or violate the legal rights, privacy, or publicity rights of others.
Do not upload or distribute unlawful, obscene, defamatory, infringing, deceptive, malicious, or harmful material, including malware or corrupted files.
Do not impersonate another person or business, falsify material information, or misrepresent qualifications, experience, services, needs, or identity.
Do not harvest member information, email addresses, or other data without authorization or use the Service for spam, pyramid schemes, chain letters, or other prohibited solicitations.
Do not violate applicable laws, posted community rules, or reasonable technical restrictions of the Service.
Freestyle Match has no obligation to monitor every communication but may review, remove, restrict, or disclose content when reasonably necessary to enforce these Terms, comply with law, respond to legal process, protect safety, or operate the Service.
16. Member Content and Submissions
Freestyle Match does not claim ownership of materials you provide to the Service, including profile information, feedback, suggestions, uploads, posts, and other submissions ("Submissions"). You represent that you own or control the rights necessary to provide your Submissions.
By providing a Submission, you grant Freestyle Match and necessary service providers a non-exclusive license to host, copy, transmit, display, reproduce, edit, format, and otherwise use the Submission as reasonably necessary to operate, promote, improve, and provide the Service, subject to applicable law and our Privacy Policy. No compensation is due for such operational use unless Freestyle Match separately agrees otherwise in writing.
Freestyle Match may remove Submissions that violate these Terms or that Freestyle Match reasonably determines should not remain on the Service.
17. International Users
The Service is controlled, operated, and administered by Freestyle Match from the United States. If you access the Service from outside the United States, you are responsible for compliance with applicable local laws.
18. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Freestyle Match, its officers, directors, employees, agents, and service providers from losses, liabilities, claims, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your use or misuse of the Service, your Submissions, your violation of these Terms, your violation of law or third-party rights, or your member-to-member business relationship, services, payments, or disputes.
Freestyle Match reserves the right, at its own cost, to assume the exclusive defense and control of a matter otherwise subject to indemnification, in which case you agree to reasonably cooperate.
19. Arbitration
If the parties are unable to resolve a dispute arising out of or concerning these Terms, the dispute shall, to the extent enforceable under applicable law, be resolved by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association or a similar arbitration service agreed upon by the parties.
The arbitrator's award shall be final and judgment may be entered in a court having jurisdiction. The arbitrator shall determine disputes concerning the scope and enforceability of this arbitration provision. This arbitration provision survives termination of these Terms.
20. Class Action Waiver
To the extent permitted by applicable law, arbitration under these Terms will take place on an individual basis. Class, collective, representative, and consolidated proceedings are not permitted unless Freestyle Match and the affected party expressly agree otherwise or applicable law requires otherwise.
21. Disclaimer of Warranties and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL INFORMATION, SOFTWARE, PRODUCTS, FEATURES, MATCHING OR DISCOVERY TOOLS, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED.
FREESTYLE MATCH AND ITS SUPPLIERS DISCLAIM, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, RELIABILITY, AVAILABILITY, ACCURACY, AND FITNESS OF ANY MEMBER, MATCH, INTRODUCTION, OR MEMBER-PROVIDED SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FREESTYLE MATCH AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, USE, OPPORTUNITY, GOODWILL, OR BUSINESS ARISING FROM OR RELATED TO THE SERVICE, A MEMBER-TO-MEMBER RELATIONSHIP, OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR LIABILITY LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
22. Suspension and Termination
Freestyle Match may suspend, restrict, or terminate access to the Service for violation of these Terms, fraud, abuse, harassment, unlawful conduct, nonpayment, threats to the Service or other members, or other circumstances reasonably requiring action to protect Freestyle Match or its community.
Termination for violation of these Terms may result in loss of membership access and, where permitted by law, may affect eligibility for refunds. Provisions that by their nature should survive termination - including intellectual-property protections, disclaimers, indemnification, dispute provisions, and accrued payment obligations - survive.
23. Governing Law; Severability; Entire Agreement
To the maximum extent permitted by applicable law, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any court proceeding permitted notwithstanding the arbitration provisions shall be brought in an appropriate court having jurisdiction, subject to applicable consumer-law requirements.
If a provision of these Terms is determined to be invalid or unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will remain in effect.
These Terms, together with policies and additional terms expressly incorporated by reference, constitute the agreement between you and Freestyle Match concerning the Service and supersede prior or contemporaneous communications concerning the same subject matter.
24. Changes to the Terms
Freestyle Match may update these Terms from time to time. The current version will be posted with an updated effective date. Where required by law, or where a change materially affects an existing recurring membership or other contractual right, Freestyle Match will provide any additional notice or obtain any additional consent required by applicable law.
Changes will apply prospectively except where applicable law permits otherwise. Continued use of the Service after an effective update constitutes acceptance to the extent permitted by law.
